Agreement

By creating an account, buying a subscription, downloading Ablegent, clicking to accept these Terms, or using Ablegent, you agree to these Terms and the Privacy Policy.

If you use Ablegent for a company or another organisation, you represent that you have authority to bind that organisation. In that case, "you" includes that organisation.

You must be at least 18 years old or otherwise have legal capacity to enter into these Terms.

Ablegent

Ablegent turns your direction into concrete changes in your Ableton Live Set. Ablegent works through a local macOS app, local Ableton Live tools, account services, usage services, support services, updates, and model access.

Ablegent may inspect your current Live Set or setup state, make useful changes under your direction when it can, and show what changed.

You remain responsible for:

• Artistic direction, taste, references, genre, and final approval.
• Saving, backing up, and versioning your Ableton projects.
• Reviewing changes before relying on them.
• Keeping your Mac, Ableton Live installation, account, and provider accounts secure.
• Having the rights needed for samples, recordings, references, plug-ins, lyrics, projects, and other material you use.

Ablegent does not promise mastered output, final mix approval, replacement of your creative judgment, whole songs from prompts, business results, chart performance, income, or acceptance by labels, distributors, platforms, clients, or collaborators.

Compatibility

Current public compatibility is macOS Sonoma or newer on Apple Silicon or Intel Macs with Ableton Live 12 (non-Trial, non-Beta) installed.

Older Live 12 versions, Live Trial, Live betas, newer major Live versions, unsupported Live UI languages, unsupported macOS versions, missing permissions, missing Ableton components, unavailable devices, or local setup problems may block or degrade the experience.

Accounts

You must provide accurate account information and keep it current. You are responsible for activity under your account unless caused by our breach of these Terms or applicable law.

We may suspend or restrict access if we reasonably believe there is account abuse, fraud, unlawful use, payment failure, security risk, violation of these Terms, or risk to Ablegent, users, providers, or the public.

Session and device limits may apply and will be shown in the product or account surface before enforcement affects ordinary paid use.

Subscriptions

Ablegent is sold through monthly subscriptions. The current public access model has these subscription paths:

• Ablegent Core.
• Ablegent Mini.
• Ablegent Pro.

Access is activated through checkout and an Ablegent account.

Ablegent Core provides Ablegent app, setup, update, diagnostics, and Ablegent support access, while model use runs through your supported ChatGPT/Codex account. Ablegent Mini and Ablegent Pro include Ablegent-bundled model access fixed by plan and subject to usage limits.

Annual billing, lifetime access, perpetual licences, pay-once licences, and team or organisation plans are not part of the current launch promise.

Billing, Renewal, Cancellation, And Refunds

Subscription fees, taxes, and any credit packs are charged through our payment processor. By buying a subscription, you authorise recurring monthly charges until you cancel or your subscription is otherwise ended.

You may cancel your subscription through the account or billing surfaces we provide. Cancellation stops renewal at the end of the current paid billing period. It does not refund the current paid period. Access may continue until the end of that period.

Ablegent Core includes a 7-day card-backed trial before paid billing starts. The trial renews at `$14.90/month` unless cancelled before the trial ends. Ablegent Mini is charged at `$14.90` for the first month and then `$29.90/month`. Ablegent Pro is charged at `$29.90` for the first month and then `$44.90/month`. Credit packs are charged as shown at checkout unless a separate no-charge offer is shown before purchase. Launch offers are one per person or payment identity. Repeated launch-offer use may be cancelled, refunded, voided, denied, or sent to support review. After paid billing starts, subscription fees are non-refundable except where required by applicable law, where a charge was made in error, or where CAUSAL CLOSURE PTE. LTD. confirms that Ablegent could not provide the purchased access because of a verified Ablegent-side service failure.

One-time credit packs have no cash value and are non-refundable after consumption. Unused pack credits may be refunded only where required by applicable law, charged in error, unusable because of a verified Ablegent-side service failure, bought by mistake and requested within 14 days of purchase, or parked after a plan change and requested pro rata within 14 days of that plan change.

Refund requests should be sent through the support or account surfaces we provide with the account email, charge date, and reason for the request. Service-failure refund requests must be sent within 7 days of the first paid charge or affected credit-pack purchase and may require setup checks to confirm the cause.

We may change prices, plan features, or billing terms prospectively. We will give notice where required by law or payment rules. Price changes do not affect charges already paid for the current billing period.

Usage Limits And Packs

Bundled model access is limited by plan. Core uses your supported ChatGPT/Codex account for model access. Mini and Pro include Ablegent-bundled model access with plan-specific allowances, reset windows, and limits. Ablegent should show usage, credits remaining, limits reached, and reset times where relevant.

Ablegent may deny a request when your plan allowance, pack balance, usage window, safety limit, abuse control, or applicable provider or account limit would be exceeded. There is no boundless use, automatic overage billing, automatic pay-as-you-go spend, or automatic limit increase in the current policy.

Extra credit packs, when offered, are one-time top-ups for matching paid Mini or Pro plans. They can fund additional requests after matching bundled monthly allowance is unavailable, but they do not bypass usage windows, service limits, safety limits, or abuse controls. Packs for a previous plan are parked after a plan change and can be used only if you return to the matching plan, unless unused parked credits are refunded under the refund policy above.

Your Content

You keep ownership of your music, Live Sets, samples, recordings, MIDI, arrangements, lyrics, project files, prompts, and other creative material.

You grant CAUSAL CLOSURE PTE. LTD. the limited rights needed to provide Ablegent. For Live Sets, samples, audio, MIDI, screenshots of musical work, and similar raw musical material, those rights are limited to local inspection, processing, and modification on your computer to perform requested Live work.

For prompts, responses, task context, account data, support messages, diagnostics, billing records, access records, and other non-raw-material content, those rights include inspecting, processing, transmitting, storing, displaying, and reproducing that content where necessary for account access, model access, diagnostics, support, safety, billing, legal compliance, and operation of Ablegent.

Your Live Sets, samples, audio, MIDI, and similar musical material stay on your computer and are not used by Ablegent for model training. Ablegent does not provide a product or support path for uploading or sending raw musical material. Prompts, model-access context, support details, and diagnostics must not include Live Sets, samples, audio, MIDI, screenshots, lyrics, raw file paths, or other musical material.

You represent that you have all rights needed for the material you ask Ablegent to use, inspect, change, export, or process.

Ablegent Property

Ablegent, including its software, website, app, local tools, cloud services, design, text, graphics, trademarks, models of interaction, documentation, and other product materials, is owned by CAUSAL CLOSURE PTE. LTD. or its licensors.

Subject to these Terms and your active access, we grant you a limited, non-exclusive, non-transferable, revocable licence to use Ablegent for your own music-production work.

You may not copy, modify, distribute, sell, lease, sublicense, host, resell, reverse engineer, decompile, scrape, bypass access controls, or provide Ablegent as a service for others except where allowed by law or by our written permission.

Acceptable Use

You must not use Ablegent to:

• Break the law or violate another person's rights.
• Upload, share, or process material you do not have permission to use.
• Bypass payment, access, usage, model, provider, security, or compatibility controls.
• Interfere with Ablegent, Ableton Live, model providers, payment processors, infrastructure, or other users.
• Probe, scan, overload, abuse, or attack Ablegent systems.
• Send malware, credential theft, spam, harassment, or harmful output.
• Misrepresent Ablegent output as human-created where disclosure is legally required.
• Use Ablegent in a way that creates unlawful discrimination, deception, privacy invasion, infringement, or safety risk.

Third-Party Services

Ablegent depends on third-party services and software, including Ableton Live, macOS, payment providers, model providers, hosting providers, email providers, analytics providers, update infrastructure, and support tools. Those services may have their own terms, privacy practices, outages, rate limits, compatibility changes, or account requirements.

Ablegent is not Ableton Live and is not affiliated with Ableton unless a separate published statement says otherwise.

Updates And Availability

We may update Ablegent, local tools, cloud services, usage policy, compatibility checks, supported model paths, and account surfaces. Updates may be required to keep using the product.

Ablegent may be unavailable because of maintenance, outages, provider failures, network problems, local setup issues, compatibility changes, account issues, billing problems, usage limits, or events beyond our reasonable control.

When Ablegent cannot safely or usefully complete a request, it should name what needs attention instead of claiming success.

Termination

You may stop using Ablegent at any time and may cancel your subscription as described above.

We may suspend, restrict, or terminate your access if you breach these Terms, if payment fails, if your use creates legal, security, abuse, or operational risk, or if we discontinue Ablegent or a material part of it.

After termination, provisions that by their nature should survive will survive, including payment obligations, ownership, privacy, disclaimers, liability limits, indemnity, dispute terms, and restrictions on misuse.

Disclaimers

To the maximum extent permitted by law, Ablegent is provided "as is" and "as available". We disclaim all warranties, conditions, representations, and undertakings, whether express, implied, statutory, or otherwise, including merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted or error-free operation.

Nothing in these Terms excludes rights that cannot be excluded under applicable law.

Liability

To the maximum extent permitted by law, CAUSAL CLOSURE PTE. LTD. and its officers, directors, employees, contractors, affiliates, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, content, music, projects, business opportunity, or anticipated savings.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to Ablegent or these Terms is limited to the amount you paid to us for Ablegent in the 12 months before the event giving rise to the claim, or SGD 100 if you paid nothing.

Indemnity

To the maximum extent permitted by law, you agree to indemnify CAUSAL CLOSURE PTE. LTD. against claims, losses, liabilities, damages, costs, and expenses arising from your breach of these Terms, your content, your unlawful use of Ablegent, your infringement of third-party rights, or your misuse of third-party services.

Governing Law And Disputes

These Terms are governed by the laws of Singapore.

The courts of Singapore have exclusive jurisdiction over disputes arising from or relating to these Terms or Ablegent, except that either party may seek urgent injunctive or equitable relief in any court of competent jurisdiction.

Before filing a claim, each party should first try to resolve the dispute in good faith through the support, account, or legal notice channel available to that party.

Changes

We may update these Terms from time to time. The updated version will be posted with a new date. Material changes should be communicated through an appropriate product, account, or website surface. Continued use after the effective date of updated Terms means you accept the updated Terms.
